Our Story

Building bridges between innovation and legal compliance since day one

How We Got Started

Look, we didn't start Panyax Engine because we thought the legal world needed another stuffy corporate firm. Back in 2018, a handful of us were sitting in a cramped Toronto office, frustrated as hell watching tech companies struggle with legal frameworks that just didn't make sense for what they were trying to build.

We'd seen too many startups get hammered with compliance issues they didn't even know existed, and traditional firms were charging ridiculous fees just to translate basic regulations into plain English. Something had to change.

So we grabbed some coffee, put our heads together, and figured - why not create a firm that actually gets it? One that speaks both corporate law AND tech fluently. No smoke and mirrors, no unnecessary legal jargon just to sound important.

Fast forward to today, we've helped hundreds of businesses navigate everything from incorporation to major acquisitions. We've seen companies grow from garage operations to market leaders, and honestly, that's what keeps us going. Not the billable hours, not the prestige - it's watching our clients succeed because they had solid legal backing when it mattered.

We're based in Toronto's financial district now, but we haven't forgotten where we came from. Every client still gets that same straight-talk approach we started with. Because at the end of the day, good legal work shouldn't feel like deciphering ancient scrolls.

Meet the Team

The people who make it happen

Sarah Chen

Sarah Chen

Founding Partner - Corporate Law

Sarah's the one who pitched the whole idea over too many espressos. She's handled over 200 corporate formations and somehow still gets excited about articles of incorporation. Former big law associate who got tired of the BS and wanted to build something real. When she's not drafting shareholder agreements, she's probably hiking the Bruce Trail.

Marcus Thompson

Marcus Thompson

Founding Partner - Tech Compliance

Marcus came from a software engineering background before law school, which is why he actually understands what our tech clients are talking about. He's navigated companies through GDPR, PIPEDA, and every data privacy headache you can imagine. Still codes on weekends for fun - yeah, he's that guy. Makes compliance almost... dare I say it... interesting?

Jennifer Martinez

Jennifer Martinez

Senior Partner - Intellectual Property

Jen joined us in 2020 and immediately became our IP guru. Patent applications, trademark disputes, licensing deals - she's seen it all. Used to work for a major tech company in-house, so she knows both sides of the table. Has saved countless clients from trademark nightmares they didn't even know were coming. Coffee snob and puzzle enthusiast.

David Park

David Park

Partner - M&A and Contracts

David's the guy you want when things get complicated. He's closed deals ranging from small acquisitions to multi-million dollar mergers, and he's got a knack for spotting issues before they become problems. Former investment banker turned lawyer - brings that financial perspective we need. Negotiates contracts like he's playing chess, always three moves ahead.

Rachel O'Connor

Rachel O'Connor

Partner - Employment Law

Rachel handles all the people stuff - and trust me, that's where things get messy. Employment contracts, workplace disputes, HR policy reviews... she's seen every possible way companies can screw up with their staff. Super practical approach, doesn't sugarcoat things. If your employee handbook is a disaster, she'll tell you straight up. Marathon runner who applies that same endurance to complex cases.

Ahmed Hassan

Ahmed Hassan

Associate - Business Formation

Ahmed's one of our rising stars. He works closely with startups and new businesses getting off the ground. Patient as hell - which you need to be when you're explaining corporate structures to first-time founders at 11 PM. Joined us fresh from his call to the bar and has already helped launch over 80 companies. Board game enthusiast who treats business formation like strategic gameplay.

What We Stand For

Not just buzzwords - these actually guide how we work

Straight Talk, No BS

We're not gonna pad our bills or use fancy words to confuse you. If something's straightforward, we'll tell you. If it's complicated, we'll explain it in a way that actually makes sense. You're paying for advice, not for us to sound impressive.

Practical Solutions

Sure, we could give you the most legally bulletproof solution that costs a fortune and takes months. Or we could give you something that actually works for your situation and budget. We're here to help your business move forward, not create legal perfection that sits on a shelf.

Actually Responsive

Ever had a lawyer ghost you for days? Yeah, we hate that too. We return calls, answer emails, and keep you in the loop. Business moves fast, and your legal team shouldn't be the bottleneck. If we say we'll get back to you by Friday, we mean it.

Long-Term Thinking

We're not looking for quick wins or one-time clients. We want to be your legal partner as you grow - from incorporation through your first funding round, your first acquisition, and beyond. That means sometimes we'll tell you to wait, or to take a different path, because we're thinking about what's best for you in the long run.

Tech-Forward Approach

We actually use modern tools and understand technology. Digital signatures, secure document sharing, online meetings - we're set up for how business actually works today. And when you need compliance advice for your SaaS platform or app, we get it because we've been there dozens of times.

Fair Pricing

We're transparent about costs upfront. Fixed fees where it makes sense, clear hourly rates when it doesn't. No surprise bills, no hidden charges. If a project's gonna cost more than expected, we'll tell you before we rack up hours. Your budget matters, and we respect that.
